HISTORY

Established in 2007, D Tech-Engineering has been active in the building service industry for over the past decade.

We started off with providing solutions for Gas Detection Systems, and have grown our service capabilities to Mechanical, Fire Damper, Electrical and Air Conditioning. Not forgetting the essence that led us to our current success, we always aim to provide customers like you with the best professional service at a competitive price.

With support from our new and existing clients, we have established ourselves as one of the most called upon and reliable building services provider across NSW.

TERMS AND CONDITIONS

1. Definitions2020-09-10T14:19:04+08:00

a) “Customer” means the person, firm or company with whom D Tech-Engineering shall enter into a contract.

b) “D Tech-Engineering” refers to D Tech-Engineering Pty Limited (ABN 92 123 553 944)

c) “Price” means the fees, costs and expenses set out in the Quotation.

d) “Quotation” means our written quotation for the goods and/or services to be provided and/or performed.

e) “Scope of Work” means the goods or the services or both described in the Quotation.

f) “ESS (Energy Savings Scheme)” means the NSW energy savings scheme, introduced by the NSW government in July 2009.

2. General2020-09-10T14:19:25+08:00

2.1 These terms and conditions apply to all goods and/or services (“Scope of Work”) sold or performed by D Tech-Engineering and are incorporated into each and every Quotation issued by D Tech-Engineering. The Quotation constitutes D Tech-Engineering offer to the Customer identified in the Quotation and otherwise to enter into the agreement the Quotation describes, and the Quotation shall be the complete and exclusive statement of such offer and acceptance.

2.2 A contract is formed when the Customer accepts the Quotation by written acknowledgement or by the issuance to D Tech-Engineering of a purchase or work order or other acceptance for the Scope of Work. Acceptance is expressly limited to these terms and conditions expressly referred to in the Quotation.

2.3 Unless otherwise specified in writing, the Quotation is to remain open for 30 days from the date of delivery.

2.4 Prior to receipt of an order, D Tech-Engineering reserves the right to make any changes to the Quotation as it considers necessary.

2.5 In case(s) where the goods quoted are no longer available, D Tech-Engineering reserve the rights to replace it with an equivalent product.

2.6 Additional charges may be pass on the Customer requiring registration to external contractor’s website.

2.7 D Tech-Engineering reserves the right to reject the Quotation at any time even when the Customer has accepted the scope of work.

3. Prices2020-09-10T14:18:25+08:00

The prices stated in the Quotation is exclusive of Goods and Service Tax (GST). All taxes and duties applicable shall be for the Customer’s account unless otherwise stated in the Quotation

4. Payment2020-09-10T14:17:55+08:00

4.1 For Customers with credit terms – Net thirty (30) days from the date of each Tax Invoice the Customer must pay the full amount contained in the Tax Invoice.

4.2 For Customers without credit terms –Payments to be made upon acceptance of the Quotation before Scope of Work performed or otherwise agreed.

4.3 Unless both parties otherwise agree in writing the Customer cannot set off any amount that is or may be owing from D Tech-Engineering to the Customer against any money that the Customer must pay D Tech-Engineering under clause 4.2.

4.4 D Tech-Engineering reserves the right to charge in accordance with the Penalty Interest Rates in accordance to the law of the State of NSW and/or to cancel or place the Customer account credit term on HOLD until all payments are made.

5. Overdue Accounts2020-09-10T14:20:58+08:00

a) Administrative charge of $20 (per 14 days) for all late payment.

b) The Customer acknowledge that if the account is overdue, D Tech-Engineering at its discretion, reserves the right to refer the Customer’s account to Mercantile Agency for collection

c) The Customer agrees to pay all legal cost and other expenses incurred by D Tech-Engineering in connection with the recovery of any amounts overdue by the Customer.

6. Warranties2020-09-10T14:20:17+08:00

D Tech-Engineering warrants that the Scope of Work under the Contract shall be free from defects from faulty material during the warranty period specified herein provided that D Tech-Engineering will not be held responsible for any loss arising from incorrect installation or improper maintenance or operation of the goods by the Customer. In no circumstance does the warranty extend to or apply in respect of defects arising from effects such as but not limited to normal wear, corrosion, excessive heat, chemical degradation, abrasive erosion, and improper storage.

It is a condition of the warranty that equipment must be serviced in accordance to manufacturer’s guideline.

The Warranty Period for electronics and sensors is one (1) year from delivery unless specified.

The Warranty Period for replaced or repaired parts will be the remaining warranty period as per the original delivery date.

7. Delivery2020-09-10T14:19:49+08:00

a) Delivery times are usually around 4-6 weeks, but these are estimates only and are not of the essence.

b) D Tech-Engineering is not liable for any loss to the Customer (or other parties) resulting from late or non-delivery.

8. Title to Products, Services and Documentation and Risk2020-09-10T14:21:27+08:00

a) D Tech-Engineering reserves the following rights in relation to any goods and/or services provided to the Customer until the Customer’s account(s) is paid in full:

i) Legal ownership of the products and/or services and documentation;
ii) To enter the Customer(s)’s premises (or the premises of any associated company or agent where the goods are located) without liability for trespass or any resulting damage and retake possession of the goods;
iii)To keep or resell any goods repossessed pursuant to 8(a)(ii) above; and
iv) Documentation cannot be used in any form.

b) If the goods are resold, or products manufactured using the good are sold by the Customer, the Customer shall hold such part of the proceeds of any such sale as represents the price of the goods sold (as per the Tax Invoice) or used in the manufacture of the goods sold in a separate identifiable account as the beneficial property of the credit Provider and shall pay such amount to D Tech-Engineering upon request.

c) Notwithstanding the provisions above, D Tech-Engineering shall be entitled to maintain an action against the Customer for payment of the Price.

d) Risk of the goods shall pass to the Customer upon delivery.

9. Documentation and Data2020-09-10T14:21:58+08:00

9.1 In the event that the Customer provided D Tech-Engineering with information including but not limited to instruction or any other data required for the performance of the Scope of Work, D Tech-Engineering:

a) Assumes no responsibility for the adequacy of such information; and
b) Is entitled to rely on the accuracy of such information; and
c) Is not required to review or confirm the accuracy of such information; and
d) To the extend permitted by law, is not liable to the Customer for any and all Claims in connection with any inaccuracy of such information.

9.2 In any circumstances where validation is required by D Tech-Engineering, additional charges will be applied upon confirmation/approval with the Customer.

10. Confidentiality2020-09-10T14:23:08+08:00

10.1 The Customer agrees to keep the Quotation and the terms and conditions of this Contract and any information supplied under this Contract confidential. The customer may only disclose confidential information supplied to another person provided that the Customer obtains consent from D Tech-Engineering.

10.2 The Quotation and terms and condition of this Contract is for the Customer only. Information should not be amended or forwarded without the approval of D Tech-Engineering.

11. Working Hours and Charges2020-09-10T14:24:20+08:00

11.1 The Quotation is made in contemplation that D Tech-Engineering performed its work during their operating hours from 8am to 4:30pm, Monday to Friday (excluding Public Holidays).

11.2 Additional call out and service fee (as per normal D Tech-Engineering non-contract service charges) will be applicable for any delays caused by the Customer.

11.3 Any additional costs resulting from the Customer’s direction to work extraneous hours in lieu of the operating hours in order to complete the Scope of Work may be added to the Price by D Tech-Engineering.

12. Subcontracting2020-09-10T14:25:20+08:00

D Tech-Engineering is allowed to sub-contract to third parties any parts of the work required to complete the Scope of Work as it may, in its absolute discretion think fit, without notification to the Customer.

13. Indemnity2020-09-10T14:26:12+08:00

As provided in these terms and conditions, the Customer hereby releases D Tech-Engineering from all liability and indemnifies D Tech-Engineering in respect of any claim, action or suit for loss or damage (including consequential loss or damage) by reason of delay, faulty or defective materials or workmanship or any act of negligence or omission by D Tech-Engineering, its servants or agents.

14. Cancellation2020-09-10T14:27:10+08:00

No order may be cancelled except with consent in writing and on terms, which will indemnify D Tech-Engineering against all losses resulting from such cancellation.

15. Termination2020-09-10T14:28:33+08:00

a) If the Customer shall default in any of its obligations under this contract, D Tech-Engineering shall have the right to terminate this contract immediately upon the provision of written notice to the Customer

b) To the extend permitted by law, upon termination of the contract prior to payment of the Price in full:

i) All amounts due under the contract become payable forthwith;
ii) Execute the right in accordance with clause 8.

16. Carpark Mechanical Ventilation Analysis2020-09-10T16:41:36+08:00

This section is only applicable to our ESS Project Customer

16.1 The below terms and conditions are in additional to our general terms and conditions stated above (section 2-15 and 17)

16.2 For all ESS Projects, if there are any overlap to the general terms and conditions, this section will supersede the above general terms and conditions, otherwise the general terms and conditions prevail.

16.3 Stage 1: Carpark Mechanical Ventilation Analysis

a) Data Logging of individual fans must be conducted with the ventilation fans operating, to ensure the existing Carpark Mechanical System is compliant with Australian standards (AS) 1668.2.
b) Any changes or access to the mechanical ventilation system equipment during the Data Logging period must be notified to the nominated contact personnel for the project prior to access;
c) Only appointed personnel(s) are permitted to access ventilation equipment during this period;
d) Appointed personnel(s) will attend the site at least once during a period of 10 business days to collect Logging Data and update on the process;
e) During the Data Logging process, if unauthorized access and/or tampering is found, all data collected during the period will be voided and required to be re-done;
f) A call-out fee of $500 + GST will incur for the following:

i) Site callouts outside of scheduled date(s) of attendance;
ii) For each subsequent site-visit, when Logging Data is voided; and
iii) Re-logging is required.

16.4 Availability, installation and commissioning

a) On-site Commissioning/Preventative Maintenance provided by D Tech-Engineering only allows for half an hour of induction (a total for both on and off site) and two hours of an Engineer’s time on-site (unless specified in Proposal’s Equipment and Price). D Tech-Engineering is only responsible for the Products and Services provided and does not accept any accept any responsibility for inherited faults/delay/functionality issue caused by other party.

b) Any additional (not limited to) troubleshooting/repair/administrative cost may incur a callout and per hour charge. Any additional charges will be advised to the customer before commencement of work.

c) On-site parking to be provided during co-ordinated site attendance (i.e. installation, commissioning, service, etc.)

d) Additional parking fees to be applied if no on-site parking is provided.

e) Additional $95 per hour may be charged during the installation/commissioning exercises if there are other incidences which prevent these exercises to be conducted normally. This will be sought for approval before actual invoicing occurs.

f) Specialist hire (e.g. Scissor lift, etc) and its labour involved are excluded from the Quotation and are considered as additional costs. This additional cost will only be provided and applied when needed and will be initially sought for approval on the day of installation or prior.

g) BMS Technician to attend site during commissioning of proposed equipment when required.

h) D Tech-Engineering under applicable occupational health and safety guideline, may refuse to start or continue any installation if we perceive a risk.

16.5 Delivery

a) Allow 6-10 weeks to commence upon receiving of order.
b) Installation will only be performed during working hours (8:30am – 4:30pm)
c) After hours service required will be charged at $250 + GST (Callout) and $180 + GST per hour (Labour).
d) Installation Schedule will be presented to Building Manager 3 weeks upon receiving order. Building Manager has 1 week to make amendments. Upon agreeing to Installation Schedule, Building Manager is to organise for access and free up area for install. Any delay caused by non-access will be charged according to $120 + GST (Callout) and $120 +GST per hours (Labour)

17. Governing Law2020-09-10T16:42:51+08:00

17.1 This contract shall be governed by the laws of Australia and the parties submit to the non-exclusive jurisdiction the courts of NSW in respect of any dispute arising.

17.2 Any dispute arising under or in connection with this contract shall be resolved by good faith discussion by the parties. If the dispute cannot be resolved by discussion within 15 days then the dispute shall be referred to arbitration by a single arbitrator appointed by agreement or (in default of agreement) nominated on the application of either party. The costs of the arbitrator should be shared equally, and the decision of the arbitrator shall be final and binding upon the parties.
